An extraordinary meeting of shareholders may be convened by the directors on a written application setting forth the reason for such meeting and its purpose, by shareholders representing not less than one-tenth of its capital.

The minutes shall record the date of the meeting, the full name of the chairman, and the manner in which the resolutions were passed, and shall be accompanied with a list of the names of all shareholders present at the meeting.
